These Terms of Service ("Terms") govern your use of the CodePlan website at https://codeplan.top ("Website") and the AI-powered technical documentation generation services provided by CodePlan ("Services"). By creating an account, accessing, or using our Website and Services, you agree to be bound by these Terms.

If you do not agree with these Terms, please do not use our Services.

1. Description of Services

CodePlan is an AI-powered technical documentation generator that helps developers and teams create comprehensive project documentation. Our Services include:

- Multi-step project wizard for defining project requirements
- AI-assisted document generation using OpenAI's advanced models
- Generation of six document types: Product Requirements Documents (PRDs), tech stack recommendations, file structure specifications, schema designs, user flows, and styling guides
- Access to 40+ ready-to-use project templates
- Collaboration features including sharing, commenting, and version history
- Export capabilities in Markdown, PDF, and ZIP formats
- Import functionality for CodeGuide ZIP files
- Credit-based usage system for AI generation
- Integration with major AI coding tools (ChatGPT, Claude, Copilot, Cursor, Bolt.new, Replit Agent)

2. Account Registration and Security

2.1 Eligibility

You must be at least 13 years old to use our Services. By creating an account, you represent that you meet this age requirement and that all information you provide is accurate and complete.

2.2 Account Creation

You can create an account using:
- Google OAuth authentication
- GitHub OAuth authentication

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

2.3 Account Security

You agree to:
- Notify us immediately of any unauthorized use of your account
- Not share your account credentials with others
- Not create multiple accounts to circumvent credit limits or abuse our Services
- Not use another user's account without permission

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

3. Subscription Plans and Pricing

3.1 Available Plans

We offer the following subscription plans:

Monthly Plan: $14/month
- 5,000 tokens per month
- AI document generation
- Access to 40+ templates
- Export to PDF/Markdown/ZIP
- CodeGuide ZIP import
- Email support

Yearly Plan: $99/year (Best Value - 2 months free)
- 6,000 tokens per month
- All features from Monthly Plan
- Priority support
- 10,000 bonus tokens upon signup

3.2 Credit System

Our Services use a credit-based (token) system:
- Credits are measured in tokens
- Each AI generation request consumes tokens based on the complexity and length of generated content
- Token estimates are shown before generation
- Unused tokens roll over month-to-month while your subscription is active
- If your credit balance falls below 10%, you will receive email and in-app notifications
- If you run out of credits, you can purchase additional credit top-ups or upgrade your plan

3.3 Payment Processing

- All payments are processed securely through Stripe
- Subscriptions automatically renew at the end of each billing period unless cancelled
- Prices are in USD and subject to change with 30 days notice
- You authorize us to charge your payment method for all fees incurred

3.4 Billing and Renewal

- Monthly subscriptions renew automatically on the same day each month
- Yearly subscriptions renew automatically on the anniversary of your signup
- Credit allocations refresh at the start of each billing period
- You can cancel your subscription at any time through your account settings or the Stripe billing portal
- Cancellations take effect at the end of your current billing period

4. Refund Policy

4.1 New Subscriptions

We offer a full refund within 7 days of your initial subscription purchase if:
- You have used fewer than 500 tokens
- You contact us at support@codeplan.top with your refund request
- You provide a reason for the refund request

4.2 Subscription Renewals

Renewal charges are generally non-refundable. However, we will consider refund requests on a case-by-case basis if:
- You contact us within 48 hours of the renewal charge
- You have not used any credits from the renewed period
- You experienced technical issues that prevented you from canceling

4.3 Credit Top-ups

Credit top-up purchases are non-refundable once the credits have been added to your account.

4.4 Promotional Bonuses

Bonus tokens (such as the 10,000 tokens for CodeGuide import or referral bonuses) are non-refundable and may be revoked if obtained through fraudulent means.

5. Acceptable Use Policy

You agree not to use our Services to:

5.1 Prohibited Content

- Generate documentation for illegal activities, malware, or harmful software
- Create content that infringes on intellectual property rights of others
- Generate discriminatory, hateful, or harassing content
- Create misleading or fraudulent technical documentation

5.2 System Abuse

- Attempt to reverse engineer, decompile, or extract our AI models or algorithms
- Use automated scripts or bots to abuse our Services or circumvent credit limits
- Overload our systems with excessive requests or denial-of-service attacks
- Access or attempt to access other users' accounts or data without authorization

5.3 Commercial Restrictions

- Resell, redistribute, or sublicense our Services without written permission
- Use our Services to provide competing documentation generation services
- Share account credentials with multiple users (contact us for team plans)

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund.

6. Intellectual Property Rights

6.1 Generated Content Ownership

You retain full ownership of:
- The project descriptions, questionnaire responses, and inputs you provide
- The documentation generated by our Services based on your inputs
- Any modifications or derivatives you create from generated content

You may use generated documentation for any lawful purpose, including commercial projects.

6.2 Our Intellectual Property

We retain all rights to:
- The CodePlan platform, website, and software
- Our proprietary algorithms, processes, and methodologies
- Template content and structure
- Our branding, trademarks, and logos
- The underlying AI models and technology (subject to third-party licenses)

You may not copy, modify, distribute, or create derivative works of our platform or proprietary content.

6.3 Third-Party Content

Our Services integrate with OpenAI's API. Content generated using OpenAI's models is subject to OpenAI's Terms of Use and Usage Policies. You are responsible for ensuring your use of generated content complies with OpenAI's terms.

7. Data and Privacy

7.1 Data Collection and Use

We collect and process your data as described in our Privacy Policy, available at https://codeplan.top/privacy-policy.

By using our Services, you consent to:
- Our collection and processing of your account and usage data
- Transmission of your project inputs to OpenAI's API for document generation
- Storage of your projects and generated documents on our servers
- Use of cookies and analytics to improve our Services

7.2 Data Retention

- We retain your data as long as your account is active
- You can delete projects individually at any time
- You can request account deletion, and we will delete your data within 30 days
- Billing records are retained for 7 years for accounting and legal compliance

7.3 Data Security

While we implement industry-standard security measures (encryption, access controls, SOC 2 alignment), we cannot guarantee absolute security. You use our Services at your own risk.

8. Collaboration and Sharing

8.1 Sharing Features

You can share projects with others by:
- Generating signed URLs with role-based permissions (Viewer or Commenter)
- Making projects public (accessible to anyone with the link)
- Inviting collaborators by email

8.2 Shared Content Responsibilities

When you share projects:
- You are responsible for managing access permissions
- You warrant that you have the right to share the content
- Collaborators must also comply with these Terms
- You can revoke access at any time through sharing settings

8.3 Comments and Feedback

- Comments and feedback you provide on projects may be visible to other collaborators
- You grant us a license to display, process, and store comments as part of the Services
- You are responsible for the content of your comments

9. Service Availability and Modifications

9.1 Service Availability

We strive to provide reliable, uninterrupted access to our Services. However:
- We do not guarantee 100% uptime or availability
- Services may be temporarily unavailable due to maintenance, updates, or technical issues
- We are not liable for losses resulting from service interruptions
- Scheduled maintenance will be announced in advance when possible

9.2 Service Modifications

We reserve the right to:
- Modify, update, or discontinue features at any time
- Change pricing with 30 days notice to existing subscribers
- Update these Terms with notice to users
- Limit or restrict access to certain features based on usage patterns or abuse

9.3 Beta Features

Some features may be offered as beta or experimental:
- Beta features are provided "as is" without warranties
- Beta features may be modified or discontinued without notice
- Feedback on beta features is appreciated and may be used to improve Services

10. Third-Party Services and Integrations

10.1 Third-Party Dependencies

Our Services rely on third-party providers:
- OpenAI (AI generation)
- Stripe (payment processing)
- MongoDB Atlas (data storage)
- Pusher (real-time features)
- Resend (email delivery)

We are not responsible for outages, errors, or issues caused by these third-party services.

10.2 AI Generation Disclaimer

AI-generated documentation is provided "as is":
- Generated content may contain inaccuracies, errors, or incomplete information
- You are responsible for reviewing and validating all generated content before use
- We do not warrant that generated content is suitable for any particular purpose
- Generated content should not be relied upon as professional technical advice

10.3 Template Content

Templates are provided for guidance only:
- Templates may not be suitable for all projects or use cases
- You are responsible for customizing templates to meet your specific needs
- We do not warrant the accuracy or completeness of template content

11. Warranties and Disclaimers

11.1 Service Disclaimer

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

AI-GENERATED CONTENT IS PROVIDED WITHOUT ANY REPRESENTATION OR WARRANTY REGARDING:
- ACCURACY, COMPLETENESS, OR SUITABILITY FOR YOUR PROJECT
- COMPLIANCE WITH TECHNICAL STANDARDS OR BEST PRACTICES
- FREEDOM FROM ERRORS, BUGS, OR SECURITY VULNERABILITIES
- APPROPRIATENESS FOR PRODUCTION USE

You acknowledge that AI models can produce unexpected or incorrect outputs, and you use generated content at your own risk.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

12.1 Liability Cap

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

12.2 Excluded Damages

WE SHALL NOT BE LIABLE FOR:

12.3 User Responsibility

You acknowledge that:
- You are solely responsible for how you use generated documentation
- You should review and validate all generated content before relying on it
- We are not responsible for project outcomes based on generated content
- You should maintain backups of important data

13. Indemnification

You agree to indemnify, defend, and hold harmless CodePlan, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

- Your use or misuse of our Services
- Your violation of these Terms
- Your violation of any third-party rights, including intellectual property rights
- Content you submit or generate through our Services
- Your sharing or distribution of generated content

14. Termination

14.1 Termination by You

You may terminate your account at any time by:
- Canceling your subscription through account settings or Stripe billing portal
- Contacting us at support@codeplan.top to request account deletion

Upon cancellation, you will retain access until the end of your current billing period.

14.2 Termination by Us

We may suspend or terminate your account immediately if:
- You violate these Terms or our Acceptable Use Policy
- We detect fraudulent or abusive activity
- You fail to pay subscription fees
- Required by law or legal process
- We cease operations (with 30 days notice when possible)

14.3 Effect of Termination

Upon termination:
- Your access to Services will be revoked
- Unused credits are forfeited (non-refundable)
- You may export your data within 30 days of termination
- We will delete your data according to our Privacy Policy
- Provisions of these Terms that should survive termination will remain in effect

15. Dispute Resolution

15.1 Informal Resolution

Before filing a legal claim, you agree to contact us at support@codeplan.top to attempt to resolve the dispute informally. We will work in good faith to resolve disputes within 30 days.

15.2 Governing Law

These Terms are governed by the laws of France, without regard to conflict of law principles.

15.3 Jurisdiction

Any legal action or proceeding arising from or relating to these Terms or our Services shall be brought exclusively in the courts of France, and you consent to the jurisdiction of such courts.

15.4 Arbitration (Optional)

For disputes that cannot be resolved informally, we may offer binding arbitration as an alternative to litigation. Arbitration terms would be negotiated in good faith between parties.

16. Changes to Terms

16.1 Notification of Changes

We may update these Terms from time to time. We will notify you of material changes by:

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

17.4 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms to any affiliate or in connection with a merger, acquisition, or sale of assets.

17.5 Force Majeure

We are not liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including natural disasters, pandemics, war, terrorism, labor disputes, or technical failures of third-party services.

17.6 Export Compliance

You agree to comply with all applicable export and import control laws and regulations in your use of our Services.
